En el marco del desarrollo y cumplimiento de su Plan Estratégico 2018-2020 y en seguimiento del Hecho Relevante de 23 de mayo de los corrientes, el Grupo Amper comunica que con fecha de hoy, 1 de agosto de 2019, ha procedido a adquirir, a través de su filial NERVION INDUSTRIES, el 100% de las participaciones sociales de FORMECAL S.L., con el fin de reforzar Amper Industrial, penetrando en sectores estratégicos de mayor valor añadido que
complementen el abanico de servicios que ofrece Nervión Industries.
La Due Diligence ha resultado satisfactoria.
Finalmente, se han negociado y mejorado las condiciones de la transacción comunicadas el 23 de mayo pasado y se efectuará por un total de 7,2 M de euros, pagaderos en 3 tramos:
– 3 M ya desembolsados en el momento de la firma.
– 2,5 M a los 15 meses de la firma.
– 1,7 M a los 27 meses de la firma.
La compañía objeto de la transacción no presenta deuda financiera alguna ni obligación adicional que deba asumirse, y tiene una facturación recurrente aproximada de 6 M de euros anuales con un margen Ebitda sobre ventas del 30%. Igualmente, la Compañía cuenta en propiedad con tres naves industriales y maquinaria de última generación, todo ello incluido en el precio.
Formecal es una Compañía dedicada a la mecanización de precisión y montaje de piezas para sector industrial y aeronáutico, donde cuenta con la condición “TIER 2”, lo que supone penetrar en un sector en expansión con alto potencial de crecimiento y acceder a clientes que son referencia en dicho sector.
