Within the framework of the development and fulfillment of its 2018-2020 Strategic Plan, the Amper Group announces that, as of July 24, 2019, it has proceeded to present a Conditional Formal Offer for the acquisition of 64% of the social shares of PROES CONSULTORES SA, a company 100% owned by Grupo Euroconsult, currently in the Contest of Creditors. This offer has been accepted. The final formalization of the operation will occur after the following basic milestones: – Absence of transaction price as payment to the previous shareholder. – Carrying out a Due Diligence process that ends with Amper’s satisfaction. – The subsequent execution of a Capital Increase, for an amount up to a maximum of 1.71 M euros, of which executives of the acquired Company would contribute a minimum of 0.250 M euros. Amper, which would contribute 1.46 M euros, would obtain 64% of the capital. The contribution of 1.71 M euros would be allocated entirely to the working capital of the acquired Company. – The acceptance by Proes financial creditors (which presents a total financial liability of about 3.5 M), of a financial restructuring proposal that allows Proes to comply with a Business Plan that guarantees minimum billing and Ebitda aligned with the Amper Strategic Plan. PROES is a multidisciplinary and international engineering and architecture consultant. He has over forty years of experience and carries out projects, technical assistance, training and advice, especially on transport and energy. The company currently has 21 M euros of executable portfolio.
